Course Description
Accountants often have reporting duties for boards of directors and can help improve the operations of boards for large and small organizations, both for-profit and nonprofit. In addition, accountants can assist boards with statutory duties and help their individual members avoid liability associated with piercing of the corporate veil.
While lawyers play a role in this area, accountants are uniquely trained and can be experts in such matters as: Board budget; validity determinations for potentially “independent board members,” board evaluation processes, board communication (online) systems and processes, and cybersecurity and insurance protection.
This course will also guide accountants as to the benefits, pitfalls and best practices should they currently serve on a board of directors or seek to become a board member.

- Recognize key statutory obligations of board members especially regarding financial, compliance, strategic and governance matters
- Identify the key roles for accountants in assisting boards of directors
- Discover ways to expand your accounting practice to include working with boards of directors and board of directors’ issues and procedures
- Recognize the importance of board members evaluating each other and the CEO at least annually and how you can help as an accountant
- Discover how to become an effective board member

Herb Rubenstein is a Phi Beta Kappa graduate of Washington and Lee. He was a Rotary Ambassadorial Scholar to the University of Bristol where he received a diploma in the social sciences. He received his Master of Public Affairs from the Lyndon B. Johnson School of Public Affairs of the University of Texas at Austin. He has his law degree from Georgetown University. His books in Entrepreneurism and Leadership have been published by major publishers and he has over 100 articles on Ethics, Leadership, Boards of Directors, Change Management, Scenario Planning, and related management disciplines.
